Should you flip, and when?
Almost every founder raising from US investors restructures eventually. The decision is rarely whether — it is when, and the cost curve is steep. Six questions, answered against the same rules we use when a founder asks us.
Is US or EU capital anywhere in your plan?
Not today necessarily — within the next couple of rounds.
Have you taken outside money yet?
Do employees hold equity or options?
Do you earn revenue in more than one country?
Are there shareholders outside the founding team?
Is the company worth materially more than at founding?
A round, an offer, or revenue that would support a valuation.
Answer the six questions above. Nothing is sent anywhere unless you ask for it.
This is general guidance, not legal or tax advice. The consequences of a reorganisation depend on your specific structure and on each founder's tax residency — take professional advice before acting. The reasoning here comes from our longer write-up, which has the detail this tool compresses.
If you want to talk it through — including the case for not doing it at all — . We have been on both sides of the reorganisation and have no interest in selling you one.
